Terms of Service

1. The site and these terms

Superyacht Holdings LLC, a Delaware limited liability company (“SYH”, “we”, “us”), operates yacht.syhclub.com (the “Site”) as an invitation-only viewing of photographs and a film. These Terms govern access to and use of the Site. You must be at least 18 and have authority to accept for yourself or any entity you represent.

2. Confidentiality and the Mutual NDA

Access is conditioned on the separately linked Mutual Non-Disclosure Agreement (the “NDA”). The NDA controls if it conflicts with these Terms on confidentiality. These Terms do not amend, waive or expand the NDA. You may view and discuss the material only with SYH and people authorized under the NDA.

3. Your access and permitted use

Use your own accurate name and email address and the password supplied by SYH. A shared password does not verify ownership of the email address you enter. Do not share access or allow an unauthorized person to use your session. You receive a limited, personal, non-exclusive, non-transferable and revocable right to view the Site for the confidential viewing purpose.

4. Prohibited use

• Do not publish, redistribute, copy or publicly display confidential material.
• Do not identify the vessel or disclose details that could identify it.
• Do not remove confidentiality markings, credits or attribution.
• Do not circumvent access controls, scrape the Site, introduce malicious code, impersonate another person or interfere with the Site.

5. Ownership and third-party material

SYH or the relevant licensors retain all rights in the Site, its photography, film, names, marks and presentation. Access transfers no ownership and grants no licence to use any name, logo, image or recording beyond the private viewing purpose. Third-party material remains subject to its owners’ rights.

6. Electronic records and signatures

By checking both statements and selecting “Agree and continue”, you consent to electronic records and signatures, accept these Terms and electronically accept the NDA. Your acceptance is linked to the identity you supply, the time, the exact statements shown, and the identified document and hash. Read and save or print the linked documents before accepting. If you do not wish to proceed electronically, do not accept and contact us.

7. Availability and ending access

The Site is provided “as is” and “as available”. SYH may change, suspend or withdraw material or revoke access at any time. Material speaks as of its date. Confidentiality obligations continue as provided in the NDA.

8. Warranties and liability

To the maximum extent permitted by law, SYH disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and completeness, and does not warrant uninterrupted or error-free access. SYH and its members, managers, officers, employees, agents and advisers are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost data or lost goodwill relating to the Site. SYH’s total aggregate liability relating to the Site will not exceed US$100. Nothing limits liability that cannot lawfully be excluded.

9. Misuse and disputes

You will indemnify and hold harmless SYH and its members, managers, officers, employees, agents and advisers from losses, liabilities, costs and reasonable legal fees arising from your breach of these Terms or misuse of the Site. These Terms are governed by Delaware law. Disputes will be resolved as specified in the NDA, including binding arbitration under the JAMS Rules before one arbitrator seated in Delaware. Either party may seek appropriate injunctive relief to protect confidential information or intellectual property.

10. General, updates and contact

These Terms, the NDA and the Privacy noticegovern the Site. If a provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver. Material changes to the agreement package will receive a new dated version; earlier acceptance records remain preserved. Questions may be sent to matthew@syhclub.com.
